1. Overview
These Terms & Conditions govern participation in Encore & Adore’s designer pre-loved
fashion resale program. By submitting items for sale, the Seller agrees to these Terms.

2. Business Model
Encore & Adore operates a curated fashion resale boutique. Sellers are granted a three (3) week selling period for accepted items. Ownership remains with the Seller until an item is
sold.

3. Acceptance of Inventory
Encore & Adore has sole discretion to accept or reject any item. Items must be authentic, in excellent condition, clean, and suitable for the boutique’s curated brand positioning. Fast
fashion, damaged items, counterfeit goods, and items with excessive wear may be rejected.

4. Seller Warranties
The Seller warrants that they own the items submitted, have the legal right to sell them, and that all items are authentic and free from any security interest, claim, or encumbrance.

5. Selling Period and Capacity
The standard selling period is three (3) weeks. Sellers may submit between 10 and 20
garments, subject to available capacity and management approval. Encore & Adore may permit replenishment during the selling period.

6. Fees and Commission
A non-refundable seller participation fee of AUD $180 is payable in advance for each selling period. Encore & Adore retains a commission of 30% of the final sale price of each sold item unless otherwise agreed in writing.

7. Pricing Authority
During intake, Sellers provide an Ideal Price and a Minimum Acceptable Price. Encore &
Adore has authority to determine the displayed price, promotional pricing, negotiation
strategy, and final sale price within the approved range provided by the Seller.

8. Sales and Discounts
Sales staff may negotiate with customers and complete sales within the approved pricing range (set by the seller). No additional approval from the Seller is required where a sale falls within the agreed range.

9. Payment to Sellers

Seller proceeds equal the final sale price less Encore & Adore’s commission and any agreed deductions. Payments will generally be processed within fourteen (14) days after the end of the selling period, subject to reconciliation.

10. Unsold Items
The Seller must collect unsold items within fourteen (14) days of notification that the
selling period has ended. Encore & Adore may charge storage fees for uncollected items and may donate, dispose of, or otherwise deal with items remaining uncollected after thirty (30)
days following notice.

11. Authenticity and Counterfeit Goods
Encore & Adore reserves the right to refuse, remove, or report any item suspected of being counterfeit. Sellers may be required to provide proof of authenticity.

12. Risk and Liability
Encore & Adore will take reasonable care of items while in its possession but is not
responsible for normal wear, minor handling marks, theft, fire, flood, accidental damage, or events beyond its reasonable control. Sellers are encouraged to maintain their own
insurance where appropriate.

13. Returns and Customer Remedies
Encore & Adore have a strict No Returns or Exchange policy. All items are final at the point of sale and garments with minor defects are sold as is.

14. Marketing and Promotion
The Seller grants Encore & Adore permission to photograph, display, advertise, and
promote submitted items through in-store displays, websites, social media channels, and marketing materials without additional compensation.

15. Privacy
Personal information collected from Sellers will be used for administration of the resale
program, payment processing, legal compliance, and marketing communications where permitted by law.

16. Termination
Encore & Adore may refuse future participation or terminate a selling arrangement where a Seller breaches these Terms, provides inaccurate information, or submits prohibited items.

17. Limitation of Liability
To the maximum extent permitted by law, Encore & Adore’s liability is limited to the net
amount payable to the Seller in relation to the affected item. Nothing in these Terms
excludes rights that cannot legally be excluded under Australian Consumer Law.

18. Governing Law
These Terms are governed by the laws of Victoria, Australia, and any disputes will be
subject to the jurisdiction of Victorian courts.

19. Amendments
Encore & Adore may update these Terms from time to time. Updated versions will apply to future selling periods and will be made available to Sellers before participation.
